Seite 2 — 9 wird aufgrund der Feststellungen und Erwägungen, – dass X._____ und Y._____ (Gesuchsteller) das Kantonsgericht von Graubünden mit Eingabe vom 14. Februar 2017 darum ersuchten, einen unabhängigen Sachverständigen mit der Durchführung einer Sonderprüfung im Sinne von Art. 697b ff. OR bei der Z._____, zu beauftragen, – dass sie in prozessualer Hinsicht den Antrag stellten, das Verfahren zu sistieren, bis im materiellen Verfahren VA_____ betreffend Anfechtung der GV- Beschlüsse vom 28. November 2016 der Gesuchsgegnerin über die Frage der Feststellung der Aktionärseigenschaft der Gesuchsteller entschieden worden sei (act. A.1), – dass der Vorsitzende der II. Zivilkammer der Gesuchsgegnerin mit Verfügung vom 22. Februar 2017 die Eingabe der Gesuchsteller übermittelte und ihr Frist zur Stellungnahme bis zum 6. März 2017 einräumte (act. D.2), – dass die Gesuchsgegnerin in ihrer Stellungnahme vom 6. März 2017 dem prozessualen Antrag der Gesuchsteller um Sistierung zustimmte und den Antrag stellte, es sei ihr die Frist zur Einreichung einer Stellungnahme abzunehmen und eine neue Frist anzusetzen, nachdem das vorliegende Verfahren wieder aufnommen worden sei; eventualiter werde um Erstreckung der Frist zur Einreichung einer Stellungnahme bis zum 10. April 2017 ersucht (act. D.3), – dass der Vorsitzende der II. Zivilkammer das Verfahren ZK2 17 9 mit Verfügung vom 10. März 2017, mitgeteilt am 13. März 2017, bis zum Vorliegen eines rechtskräftigen Entscheids im Zivilprozess zwischen den Gesuchstellern und der Gesuchsgegnerin, eingeleitet beim Vermittleramt der Region Plessur, Verfahrensnummer VA_____, bzw. bis zu einer anderweitigen richterlichen Verfügung sistierte, und die Parteien verpflichtete, das Kantonsgericht bei dessen Vorliegen mit einer Kopie des rechtskräftigen Entscheids im Zivilprozess zu bedienen (act. D.4), – dass der Rechtsvertreter der Gesuchsteller das Kantonsgericht von Graubünden mit Eingabe vom 10. August 2017 darüber in Kenntnis setzte, dass die Parteien am 12. Juni 2017 einen Vergleich geschlossen hätten, wonach die Gesuchsteller ihr Gesuch um Einsetzung eines Sonderprüfers zurückziehen würden, was er namens und im Auftrag seiner Klienten hiermit tue (act. A.2),
Seite 3 — 9 – dass der besagte Vergleich dem Schreiben beigelegt wurde und folgenden Wortlaut aufweist (act. A.2.1-2.3): SETTLEMENT AGREEMENT THIS SETTLEMENT AGREEMENT (hereinafter the "Agreement") is made by and between 1. X._____, (hereinafter "DD"); 2. Y._____, (hereinafter "VS") and 3. Z._____, c/o Dr. iur A._____, _____strasse 40, O.1_____, Swizterland (hereinafter "SGJM"); 4. B._____, Switzerland (hereinafter "JR") regarding Shareholding of DD and VS in SGJM (disputed by SGJM and JR) (DD and VS individually a "Plaintiff", collectively "Plaintiffs"; SGJM and JR individually a "Defendant", collectively "Defendants"; Plaintiffs and Defendants individually a "Party", collectively the "Parties".) WHEREAS the Plaintiffs asked the Defendants to have shareholding rights of 50% in SGJM, and Defendants did not recognize such shareholding rights of the Plaintiffs in SGJM (the "Legal Matter"); WHEREAS the Plaintiffs initiated court proceedings. The pre-trial court proceeding no. VA_____ (pending in Vermittleramt der Region Plessur) and the court proceeding no. ZK2 17 9 (pending in Kantonsgericht Graubünden) (these two aforementioned proceedings the "Court Proceedings") are legally pending; WHEREAS the Parties wish to settle the Legal Matter and the Court Proceedings amicably according to the terms and conditions as set forth in this Agreement. NOW THEREFORE, the Parties agree as follows: 1. Settlement 1.1 Payment of SGJM to the Plaintiffs 1 SGJM hereby irrevocably and unconditionally confirms and declares that it owes and shall pay CHF 65'000 (sixtyfive thousand Swiss Francs 0/00; the "Sum 1") to the Plaintiffs as follows: ▪ CHF 32'500 (thirtytwo thousand five hundred Swiss Francs 0/00) not later than on 15 June 2017; and ▪ CHF 32'500 (thirtytwo thousand five hundred Swiss Francs 0/00) not later than on 15 July 2017. 2 The Sum 1 shall be paid to the following bank account of Plaintiff's legal representative Barandun von Graffenried AG (the split of Sum 1 among DD and VS is subject to the internal agreement between DD and VS): Bank: C._____, Zurich, Switzerland
Seite 4 — 9 Account holder: Barandun von Graffenried AG, Zurich, Switzerland IBAN: _____ SWIFT/BIC: _____ 3 JR hereby irrevocably und unconditionally confirms and declares that he shall be jointly liable to pay the Sum 1 to the Plaintiffs if SGJM (i) does not pay Sum 1 upon Plaintiff's simple written request to pay and/or (ii) cannot pay due to illiquidity or bankruptcy procedure, or similar. 4 Clauses 1 and 3 shall qualify as promissory note (Schuldanerkennung) of SGJM and JR regarding Sum 1 in terms of Article 82(1) SchKG. 5 If SGJM and/or JR violate the payment schedule as set forth in Clause 1 at any time, the amount of Sum 1 which has not been paid yet on the date of such default shall become immediately due and payable. 1.2. Payment of JR to the Plaintiffs 6 JR hereby irrevocably und unconditionally confirms and declares that he owes and shall pay CHF 65'000 (sixtyfive thousand Swiss Francs 0/00; the "Sum 2") to the Plaintiffs as follows: ▪ CHF 32'500 (thirtytwo thousand five hundred Swiss Francs 0/00) not later than on 4 August 2017; and ▪ CHF 32'500 (thirtytwo thousand five hundred Swiss Francs 0/00) not later than on 15 September 2017. 7 The Sum 2 shall be paid to the following bank account of Plaintiff's legal representative Barandun von Graffenried AG (the split of Sum 2 among DD and VS is subject to the internal agreement between DD and VS): Bank: C._____, Zurich, Switzerland Account holder: Barandun von Graffenried AG, Zurich, Switzerland IBAN: _____ SWIFT/BIC: _____ 8 Clause 6 shall qualify as promissory note (Schuldanerkennung) of JR regarding Sum 2 in terms of Article 82(1) SchKG. 9 If JR violates the payment schedule as set forth in Clause 6 at any time, the amount of Sum 2 which has not been paid yet on the date of such default shall become immediately due and payable. 1.3 Withdrawal of Court Proceeding No ZK2 17 9, Non-Prosecution of Pre-Trial Proceeding No VA_____ 10 Upon full payment of the Sum 1 and payment of the first instalment of Sum 2, the Plaintiffs shall withdraw the court proceeding no. ZK2 17 9 pending in Kantonsgericht Graubünden, and not prosecute the pretrial proceeding No VA_____ pending in Vermittleramt der Region Plessur. Until 4 August 2017 these two procedures shall remain suspended. 11 Each Party shall bear ist own lawyers' fees.
Seite 5 — 9 12 The court costs regarding the complaint No ZK2 17 9 (pending in Kantonsgericht Graubünden) and the pre-trial proceeding No VA_____ (pending in Vermittleramt der Region Plessur) shall be borne by 50% by the respective Plaintiffs, 50% by the respective Defendant. 2. Full and Final Settlement of Mutual Claims 13 Upon full payment of the Sum 1 and the Sum 2, withdrawal of the court proceeding no ZK2 17 9 pending in Kantonsgericht Graubünden and full payment of the court fees in terms of Clause 12, the Plaintiffs and the Defendants unconditionally and irrevocably mutually release and forever discharge each other from any and all past, present and future claims and obligations they have or may have against each other under or connected with the subject matter of this Agreement, including without limitation under, out of or in connection with the Legal Matter and/or the Court Proceedings. Inter alia, the Plaintiffs shall not claim any shareholders' rights in SGJM. Upon full payment of the Sum 1 and the Sum 2, the Plaintiffs hereby declare and confirm explicitly not to be shareholders of SGJM. 3. Miscellaneous 14 Entire Agreement. This Agreement constitutes and contains the entire agreement of the Parties with respect to its subject mater, including without limitation the Legal Matter and the Court Proceedings, and supersedes any and all prior negotiations, correspondence, understandings and agreements regarding the subject matter of this Agreement. 15 Amendments. This Agreement, including this provision, shall not be modified, amended, rescinded and/or cancelled, in whole or in part, except by an instrument in writing duly signed by all Parties hereto. 16 Severability. In the event that any of the terms or provisons of this Agreement is determined to be invalid or unenforceable, or in conflict with applicable regulations or rulings of authorities or similar third parties, or if any provision or term of this Agreement should become illegal, invalid or unenforceable at any time hereafter, then such provison shall, so far as it is invalid and unenforceable, be given no effect and shall be deemed not to be included in this Agreement but without invalidating any of the remaining provisions of this Agreement; all other provisions of this Agreement shall be severable and shall remain valid, binding and enforceable. The Parties shall use all reasonable endeavours to amend this Agreement by replacing such provison with one or more enforceable substitute provisions which preserve as nearly as possible the economic effect of such invalid or unenforceable provision. 17 Applicable Law. This Agreement is governed by and shall be construed in accordance with the Swiss law without giving effect to any principles of conflict law. 18 Venue. Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question as to its existence, interpretation, enforcement, validity, breach or termination,

Inter alia, NS/LS shall not claim any shareholders' rights in SGJM. Upon full payment of the Sum 1 and the Sum 2, NS/LS hereby declare and confirm explicitly not to be shareholders of SGJM. Kloten, 12.6.2017 Kloten, 12.6.2017 Z._____: [sig.] [sig.] B._____ B._____ 12/06/17 [i.V. sig.] F._____, vertreten durch Stefan Wiesli – dass die Gesuchsteller das Gericht zudem auf die Randziffern 11 und 12 des Vergleichsvertrags hinwiesen, wonach die Gerichtskosten je hälftig durch die Gesuchsteller und die Gesuchsgegnerin getragen und die Parteikosten wettgeschlagen würden, – dass der Rechtsvertreter der Gesuchsgegnerin namens und im Auftrag derselben auf Aufforderung des Vorsitzenden der II. Zivilkammer vom 22. August 2017 (act. D.5) mit Schreiben vom 1. September 2017 den Abschluss des Vergleichs vom 12. Juni 2017, auch hinsichtlich der dort vereinbarten Kostenfolgen, bestätigte (act. A.3), – dass die Parteien mit der oben wiedergegebenen Vereinbarung ihre Streitsache gütlich beigelegt und sich über sämtliche strittigen Punkte sowie über die Kosten- und Entschädigungsfolgen verständigt haben, – dass somit das Verfahren ZK2 17 9 vom Vorsitzenden als durch Vergleich erledigt abgeschrieben werden kann (Art. 241 Abs. 3 ZPO in Verbindung mit Art. 9 Abs. 2 des Gerichtsorganisationsgesetzes [GOG; BR 173.000] und Art. 11 Abs. 2 der Kantonsgerichtsverordnung [KGV; BR 173.100]), – dass mit dem Abschreibungsentscheid der Rechtsstreit beendet wird und damit auch über die entstandenen Prozesskosten zu entscheiden ist, wobei bei einem gerichtlichen Vergleich jede Partei die Prozesskosten nach Massgabe des Vergleichs zu tragen hat (Art. 241 Abs. 3 ZPO in Verbindung mit Art. 109 Abs. 1 ZPO), – dass sowohl über die Kosten der vorliegenden Abschreibungsverfügung wie auch über jene der Sistierungsverfügung vom 10. März 2017 zu befinden ist,
Seite 8 — 9 da die Kosten letzterer bei der Prozedur belassen wurden (Ziff. 3 der Verfügung vom 10. März 2017), – dass die Parteien sich in den Randziffern 11 und 12 des Vergleichs vom 12. Juni 2017 darauf geeinigt haben, die Parteikosten wettzuschlagen und die Gerichtskosten je hälftig zu tragen, – dass demzufolge die Kosten des vorliegenden Verfahrens, welche auf CHF 1'000.00 festgesetzt werden (Art. 8, Art. 12 und Art. 13a der Verordnung über die Gerichtsgebühren in Zivilverfahren [VGZ; BR 320.210]), den Parteien je zur Hälfte, somit zu je CHF 500.00, auferlegt werden, – dass der Vergleich durch die vollständige und wortgetreue Aufnahme in die Abschreibungsverfügung die Wirkung eines rechtskräftigen Urteils erlangt (Art. 241 Abs. 2 ZPO), – dass die vorliegende Abschreibungsverfügung nicht mit Beschwerde nach BGG angefochten werden kann, sondern lediglich der darin enthaltene Kostenentscheid anfechtbar ist (BGE 141 III 489 E. 9.3 S. 494, 139 III 133 E. 1.2 S. 134; Urteil des Bundesgerichts 5A_348/2014 vom 24. Juli 2014 E. 3.2),
Seite 9 — 9 erkannt: 1. Das Verfahren ZK2 17 9 wird als durch Vergleich erledigt abgeschrieben. 2. Die Kosten des Verfahrens von CHF 1'000.00 gehen je zur Hälfte zu Lasten der Parteien und werden mit dem von den Gesuchstellern geleisteten Kostenvorschuss von CHF 8'000.00 verrechnet. Die Gesuchsgegnerin wird verpflichtet, den Gesuchstellern den Betrag von CHF 500.00 direkt zu ersetzen. Vom Restbetrag des Kostenvorschusses von CHF 7'000.00 werden den beiden Gesuchstellern je CHF 3'500.00 durch das Kantonsgericht erstattet. 3. Gegen den einen Streitwert von weniger als CHF 30'000.00 betreffenden Kostenentscheid gemäss Ziffer 2 kann gemäss Art. 72, Art. 74 Abs. 2 lit. a BGG Beschwerde in Zivilsachen an das Schweizerische Bundesgericht, 1000 Lausanne 14, geführt werden, wenn sich eine Rechtsfrage von grundsätzlicher Bedeutung stellt. Andernfalls ist die subsidiäre Verfassungsbeschwerde gemäss Art. 113 ff. BGG gegeben. In beiden Fällen ist das Rechtsmittel dem Bundesgericht schriftlich, innert 30 Tagen seit Eröffnung der vollständigen Ausfertigung der Entscheidung in der gemäss Art. 42 f. BGG vorgeschriebenen Weise einzureichen.
